1. Agreement to terms
These Terms of Service ("Terms") govern your access to and use of the Wayline platform ("Service") operated by Isomer Holdings Limited (trading as Wayline), a company incorporated in England and Wales (company number 16358058), registered at 20 Wenlock Road, London, N1 7GU ("Wayline", "we", "us", or "our").
By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
If you do not agree to these Terms, you must not use the Service.
2. Description of service
Wayline is a software-as-a-service platform that digitises the telecoms wayleave (building access agreement) process for UK commercial and residential multi-tenanted buildings. The platform facilitates communication, negotiation, document exchange, and electronic execution of wayleave agreements between building landlords/managing agents and telecommunications operators.
Wayline acts as a platform intermediary only. We are not a party to any wayleave agreement executed through the platform, and we do not provide legal, surveying, or professional advice. The terms of any wayleave agreement are agreed exclusively between the parties to that agreement.
3. Account registration and security
To use the Service, you must register for an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You must notify us immediately at support@wayline.uk if you suspect any unauthorised access to or use of your account.
We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or used in violation of these Terms.
4. Subscriptions and fees
Building subscriptions
Landlords and managing agents may register buildings on the platform. The first building registered by an organisation is permanently free. Additional buildings require a paid subscription, billed monthly or annually at the rates set out on our pricing page.
Subscriptions auto-renew unless cancelled before the renewal date. You may cancel your subscription at any time through the billing settings. Cancellation takes effect at the end of the current billing period; no refunds are issued for unused time within a paid period.
Wayleave processing fees
When a wayleave agreement is executed through the platform, a processing fee is charged to the telecoms operator. This fee is split between the building landlord/managing agent (80%) and Wayline (20%). Fee amounts are agreed at the time of wayleave negotiation and shown to the operator before payment.
RAMS human review
Operators may optionally request a human review of their Risk Assessment and Method Statement (RAMS) documents by the Wayline team. This service is charged at the rate published on the platform at the time of request.
Price changes
We may change subscription prices on not less than 30 days' written notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new price.
5. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
- Submit false, misleading, or fraudulent information, including false building ownership claims or forged documents.
- Attempt to gain unauthorised access to other users' accounts or data, or to any systems or networks connected to the Service.
- Reverse-engineer, decompile, or attempt to extract the source code of the Service.
- Use automated means (bots, scrapers, crawlers) to access the Service without our prior written consent.
- Interfere with or disrupt the integrity or performance of the Service or its infrastructure.
- Upload or transmit malicious software, viruses, or any code designed to harm or disrupt systems.
- Impersonate another person or organisation, or misrepresent your affiliation with any entity.
We reserve the right to suspend or terminate accounts found to be in violation of this section, without notice, at our sole discretion.
6. Intellectual property
The Wayline platform, including its software, design, and content (excluding user-uploaded documents), is owned by Isomer Holdings Limited and is protected by copyright, trade mark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service solely as permitted by these Terms.
You retain ownership of all documents and content you upload to the platform. By uploading content, you grant Wayline a limited licence to store, process, and display that content solely for the purpose of providing the Service.
7. Limitation of liability
To the fullest extent permitted by law, Wayline shall not be liable to you or any third party for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of profits, loss of data, or business interruption.
Our total aggregate liability to you for any claim arising from or related to the Service shall not exceed the greater of: (a) the total fees paid by you to Wayline in the 12 months preceding the claim; or (b) £100.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
8. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by applicable law.
We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any AI-generated analysis (including RAMS reviews) produced by the Service.
AI-generated RAMS assessments are provided for informational purposes only and do not constitute professional advice. You should not rely on them as a substitute for qualified professional opinion.
9. Termination
Either party may terminate these Terms and your access to the Service at any time. If you wish to close your account, please contact us at support@wayline.uk.
We may suspend or terminate your access immediately if we reasonably believe you have violated these Terms, without prejudice to any other rights or remedies we may have.
Upon termination, your right to use the Service ceases. Executed wayleave agreements and associated data will be retained in accordance with our Privacy Policy retention periods.
10. Governing law and disputes
These Terms are governed by the laws of England and Wales. Any dispute arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
We will attempt to resolve disputes informally in the first instance. Please contact us at legal@wayline.uk before initiating formal proceedings.
11. Changes to these terms
We may update these Terms from time to time. We will notify you of material changes by email or by a prominent notice within the platform at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
